The friction inside the upper echelons of the Sir Dorabji Tata Trust (SDTT) intensified following strategic steps taken to preserve the unlisted status of Tata Sons. Chairman Noel Tata, alongside fellow trustees Darius Khambata, Neville N Tata, and Bhaskar Bhat, defended a September 28 proposal aimed at restructuring holding properties—such as merging specific subsidiaries into Tata Sons—to avoid a mandatory public listing.

Venu Srinivasan and Vijay Singh had previously expressed dissent, arguing they were excluded from the decision-making process and that such actions risked the institutional charity status of the trusts. However, the counter-letter dismissed these claims as baseless, pointing out that both vice-chairmen had previously participated in prior unanimous resolutions backing the exact same stance to keep Tata Sons private.

Allegations of Fiduciary Breaches

The communication escalates the confrontation by directly questioning the credibility and actions of Srinivasan and Singh. The majority trustee group asserted that instead of raising objections during regular internal meetings, the vice-chairmen pursued external complaints and media communication.

According to the responding trustees, filing separate grievances with external authorities without consulting co-trustees constitutes a direct violation of institutional trust and governance duties. They emphasized that safeguarding the principal asset—the massive equity stake in Tata Sons—falls squarely under the umbrella of responsible trust stewardship rather than active commercial business management.

Governance Challenges Ahead for the Tata Group

This unprecedented public clash exposes deep structural divisions over authority, voice, and strategic direction within India's most influential philanthropic organization. Traditionally defined by quiet consensus and institutional continuity, the Tata Trusts now face a critical test on how to align internal leadership perspectives.

As the debate over public listing versus private holding continues, the immediate challenge involves bridging the gap between top leadership factions. Resolving these conflicting interpretations of fiduciary responsibility will dictate how future corporate actions and major structural decisions are governed across the entire conglomerate.
